Purchase Agreement

The owner(s) will guarantee the purchase(s) of this business of this application and authorize(s) M.R. Williams, Inc. ("MR Williams") to contact any company it deems necessary in support of this request to make commercial purchases on credit terms. The applicant hereby grants MR Williams an ongoing security interest in all applicant's present and future retail inventory, accounts receivable and equipment, to secure all advances and debts the applicant owes MR Williams now and in the future.

Applicant expressly consents to any or all future transactions, delivery documents and receipts to be provided, executed, acknowledged and authenticated exclusively by electronic means. The undersigned certifies this information to be true and understands that any information omitted may cause this request for credit to be denied. It is further agreed that the undersigned will pay any collection expenses, including attorney fees that may become necessary to effect collection of this account.

In consideration of your agreeing to sell groceries, restaurant supplies, food stuff and other items to my business, on such credit or cash terms as you may extend from time to time, I (we) hereby, individually and jointly, personally and unconditionally guarantee the payment by said business of any past due account (including dishonored checks) with you, this unconditional guaranty being with the following understanding:

I (We) may at any time terminate this guaranty by written certified letter to you. Upon such notice of termination of this guaranty, this guaranty shall remain in full force and effect as to all obligations of said business, which are still unpaid at the time of such notice. If there are more than one of the undersigned, each shall remain liable on this guaranty until such has given his separate written certified letter to you.

This guaranty shall apply to all indebtedness of said business to you and shall be binding upon the heirs, administrators, executors, successors and assigns of the guarantor, and shall inure to the benefit of you, your successors and assigns.

All open account charges are due and payable per terms of invoice.

My (our) liability under the guaranty shall become absolute upon said business failing to pay any obligation to you within five (5) days of your having remitted a statement to it, and you shall not be required to make any further collection efforts from said business before being able to fully and absolutely enforce this guaranty against me (us).

Any amounts not paid per these terms are subject to 18% per annum service charge (payable weekly from 30 days after the due date of purchase) until paid.

If it becomes necessary to place the collection of the obligations of said business to you in the hands of an attorney, I (we) will pay any collection expenses, including attorney fees that may become necessary to effect collection of this account.

The undersigned(s) does hereby acknowledge full and ample consideration for the execution of this guaranty, and acknowledge that I (we) have no defense to the validity of this guaranty.
