This application is to be completed by the primary owner of the business applying for credit. Information entered will be verified against various private and government databases. Any mismatch between information provided in this application and those databases will result in a delay or rejection of this application.

What you will need to complete this application:

1.        Your Drivers License (or Passport)

2.        Completed state reseller / tax exemption forms

3.        Banking information and voided check

4.        A completed and signed W-9

Submission of this application authorizes M.R. Williams, Inc. to perform a hard pull of a personal and/or business credit report.

Delivery Credit Procedure

We are asking for your cooperation in assisting MR Williams with the timely processing of credits. To accomplish this, we will need for our customers to call in any picking errors, shortage, and delivery damage within twenty-four hours of product delivery. All cigarette, tobacco, cooler-freezer, and warehouse case items are to be piece counted on delivery and no credit will be issued for shortage on these items.

The below must be reported within 24 hours of delivery to receive credit.

• Delivery damage: Any damage that was not detected while the driver was present.
• Shortage: This applies only to items that are in totes, all other product was piece counted at the time of delivery.
• Picking errors: This applies to any item that was shipped in error for another item.

The undersigned customer ("Customer") hereby authorizes M.R. Williams, Inc. ("MR Williams") to originate debit/credit entries by electronic funds transfer to the Customer's checking account indicated below, and further authorizes the Depository Institution named below (the "Bank") to accept and to debit or credit the amount of such entries to the Customer's account. The Customer understands that this agreement is subject to the terms and conditions printed on the reverse. The Customer's participation in EFT will begin as soon as possible after necessary banking network pre-authorizations are verified and operational. Entries will be initiated by MR Williams through First Citizens. Transfers will originate through First Citizens for credit or debit to MR Williams. Credit entries will result in deposits to the account provided with this credit application.

MR Williams will initiate electronic funds transfer ("EFT") on the normal due date as shown on invoice for MR Williams shipments.

All "ship to" locations serviced by one participating "bill to" location (paying office) of the Customer must be covered by the plan. Only one bank account may be designated for EFT payments from that "bill to" location. If the Customer has more than one "bill to" location, each may participate separately in the EFT Plan.

If a draft (transfer request) is dishonored, for insufficient funds or other customer-controlled reasons, payment is due immediately to MR Williams. A customer may be disqualified from the EFT Plan, at the option of MR Williams, if there are repeated problems with dishonored drafts or other customer-controlled events.

If the Customer believes that there has been an overpayment on an EFT transaction and notifies MR Williams, MR Williams will investigate the matter and if satisfied, will credit the designated bank account through the EFT system. MR Williams may also correct overpayments on its own initiative. In addition to the applicable federal and state laws, the rules of the National Automated Clearing House Association (NACHA) and the North Carolina Automated Clearing House Association will apply to banking transactions taking place under the EFT Plan. MR Williams reserves the right to modify or discontinue the EFT Plan at any time, subject to applicable laws and regulations.

EFT in no way affects or supersedes MR Williams normal credit policies and procedures and MR Williams reserves the right to withhold or restrict credit to particular customers in keeping with such policies and procedures.

Retail Services Agreement

The average full store reset costs MR Williams over $1,500 in labor, time, materials, and transportation expenses. To qualify for a store reset, a retailer must commit to purchasing a minimum of $5,000 total purchases per week, with $1500 of that total being Non-Cigarette purchases. These are the weekly purchase requirements of MR Williams for all customers.

The retailer's authorization and category commitment, including any detailed instructions, are required before store resets can be scheduled and completed. Any input in advance is helpful so our team can be prepared. Last-minute changes on the day of the set may have to be deferred to another date based on the availability of our team. Your Territory Sales Manager will work with you closely on this plan and will work in conjunction with our Retail Services team to execute the store sets to our satisfaction.

When scheduling a store reset you agree to let MR Williams order at least one case or 3 single-pick items for every new item added to the store. These items will be shipped on the next delivery.
